From a Contributory Organization to a Modern Joint-Stock Company
From a Contributory Organization to a Modern Joint-Stock Company
Technická inšpekcia, as a contributory organization, was established to assess the safety of technical equipment according to Section 7a of Act No. 330/1996 Coll. of the National Council of the Slovak Republic on Occupational Safety and Health, as amended, and served to support the implementation of state policy on occupational safety and health in the Slovak Republic. Pursuant to Act No. 330/1996 Coll., Technická inšpekcia:
Technická inšpekcia also focused on other activities arising from its founding charter, such as disseminating information in the field of safety of technical equipment and constructions, providing expert opinions, expertise, and inspections in the field of safety of technical equipment, machinery, and constructions.
The decisive reason for raising the question of the legal form of Technická inšpekcia, which operated as a state contributory organization, was the adoption of the new Act No. 523/2004 Coll. on Budgetary Rules of Public Administration and on Amendments to Certain Acts. The Act stated that only institutions whose state subsidy exceeded 50% of their costs could be classified as contributory organizations.
Technická inšpekcia consistently operated with a positive economic result and did not claim subsidies from the state budget. In view of the effectiveness of Act No. 523/2004 Coll. from January 1, 2005, it would cease to meet the defining conditions of a contributory organization and, in accordance with Section 21, Paragraph 13 of the Act, would have to be dissolved by December 31, 2007.
Similarly, given the undeniable need for and benefit of the results of tasks performed by Technická inšpekcia for maintaining a good level of safety of technical equipment in Slovakia and the associated protection of life and health of employees in workplaces in the Slovak Republic, it was unacceptable to abandon the obligation to ensure control and inspection activities in the field of safety of technical equipment on designated technical equipment of Group A (technical equipment with a high degree of risk), which Technická inšpekcia provided in the form of so-called official tests.
For this reason, a suitable solution to fulfill SR Government Resolution No. 340/2004 was to change the form of Technická inšpekcia by transforming it into another legal entity.
By Resolution No. 749 of September 28, 2005, which approved the transformation of Technická inšpekcia into a joint-stock company, the Government of the Slovak Republic obliged the Minister of Labor, Social Affairs, and Family of the Slovak Republic to carry out the transformation according to the principles stated in the submitted material. The submission report for the aforementioned material on the transformation of Technická inšpekcia stated that the assets of the newly established joint-stock company would be reduced by financial assets amounting to 37.5 million SKK. This sum was designated as capital expenditure to ensure the transfer of children with mandated institutional care from the network of special boarding kindergartens and boarding primary schools from the Ministry of Education of the Slovak Republic to the Ministry of Labor, Social Affairs, and Family of the Slovak Republic.
Technická inšpekcia, a.s. was founded by a founding deed on March 30, 2006, following Government Resolution No. 749 of September 28, 2005, by which the Government of the Slovak Republic approved the transformation of the contributory organization Technická inšpekcia into a joint-stock company with 100% state ownership. The company was founded without a call for subscription of shares (a private joint-stock company).
Technická inšpekcia, a.s. was established on July 14, 2006, by registration in the Commercial Register as the successor to Technická inšpekcia, a state contributory organization, in accordance with Sections 31 to 39 of Act No. 124/2006 Coll. on Occupational Safety and Health and on Amendments to Certain Acts. On the day of the company’s establishment, all rights and obligations arising from legal relations concerning Technická inšpekcia, a state contributory organization, were transferred to it.
